1. Agreement to Terms
By accessing or using our website and services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.
2. Services
OriginLines provides software engineering consulting services, including but not limited to AI/ML development, custom enterprise applications, mobile development, data analytics, system integrations, and team augmentation. The specific scope of services will be defined in individual agreements with clients.
3. Intellectual Property
Unless otherwise specified in a written agreement, all intellectual property rights in work product created for clients shall be assigned to the client upon full payment. Our pre-existing intellectual property, tools, and methodologies remain our property but may be licensed for use in client projects.
4. Confidentiality
We maintain strict confidentiality regarding all client information and project details. We will not disclose confidential information to third parties without explicit written consent, except as required by law.
5. Payment Terms
Payment terms will be specified in individual service agreements. Unless otherwise agreed, invoices are due within 30 days of receipt. Late payments may incur additional fees as specified in the applicable agreement.
6. Limitation of Liability
To the maximum extent permitted by law, OriginLines shall not be liable for any indirect, incidental, special, consequential, or punitive damages, regardless of the cause of action or the nature of the claim.
7. Warranty Disclaimer
Our services are provided "as is" without warranty of any kind. While we strive for excellence in all our work, we make no guarantees regarding specific outcomes or results.
8. Termination
Either party may terminate a service agreement with written notice as specified in the applicable agreement. Upon termination, all outstanding payments become due, and each party shall return or destroy confidential information belonging to the other party.
9. Governing Law
These terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.
10. Changes to Terms
We reserve the right to modify these terms at any time. Changes will be effective immediately upon posting to our website. Your continued use of our services constitutes acceptance of any modified terms.
